Job Family Descriptor

This group of positions is responsible for the delivery and administration of legal services to ensure the issues of risk and governance within the business are aligned to corporate goals. Assess and manage legal risks faced by various TCL entities, including legal risk assessment for new product launches, extending operations in new geographies, cross-border telecom deals etc. Provide legal assistance to Board of TCL and TCIPL for information requests. Provide advice and legal expertise to BUs for resolution of disputes around litigations and arbitrations, police cases, statutory filings, licensing requirements, audit findings, business investment roadblocks, land disputes, accounting and taxation, etc. Supervise outside counsel in processing all court proceedings (including arbitrations, mediations and tribunals) around the world. File new patent applications as appropriate and manage existing patent portfolio. Oversee all trademark activity. Support Tata Sons’ trademark applications and trademark litigations. Conduct legal research and analysis on selected topics, prepares memoranda, position papers upon request. Resolve complex and general commercial transactions. Act as main liaison point for banking and financing transactions. Monitor filing and closure of claim settlements. Prepare quarterly litigation report for presentation to Board. Draft contracts and negotiate. Build and supervise a “legal help desk” of experienced attorneys to handle global transactions of day-to-day commercial matters relating to the sale of voice, data and mobility services as well as procurement matters. The function ensures adherence to regulatory requirements by constant updation of internal systems in line with evolving regulatory requirements.

Purpose - Broad objective of the role

The primary function of the role is to provide commercial transactional support to the APAC business, and to support cross functional projects and initiatives. The business teams may be located within APAC or in other jurisdictions. The work includes supporting RFPs and contracts- both negotiating new contracts and supporting in-life contract matters (such as, interpretation of terms, amendments, preliminary support on disputes before handover to the litigation team).

Key Responsibilities

  • Reviewing, drafting and negotiating “standard” and “non-standard” commercial agreements for the provision of services with minimal supervision and advising business/sales team of relevant issues;
  • Providing legal support for miscellaneous matters (not limited to sale contracts) including HR, leases/facilities;
  • Supporting Senior Counsel(s)/ /senior members of the team, on complex transactions or other matters, as requested.
  • Keeping senior stakeholders informed and escalating issues where needed in a timely manner;
  • Managing multiple matters at a time and proactively engaging with internal stakeholders to drive a deal to closure;
  • Developing knowledge of and applying skills to interface with and refer matters to other legal department teams as required (including procurement, compliance, regulatory and litigation) and ensuring timely closure of transactions in accordance with Company strategy and policies;
  • Supporting miscellaneous know-how and best practice documentation projects, including creating and updating standard templates and acting as SPOC on cross-functional projects assigned; and
  • Performing legal research/analysis and drafting opinions and position papers upon request.

Minimum qualification & experience

  • A LLB  (or equivalent) degree with admission to the bar in at least one relevant jurisdiction or one common law jurisdiction;
  • At least 5 years post qualification experience (not including training contract), with experience in  general corporate, commercial and contract law;
  • Knowledge and experience related to the telecommunications or other technology industries;
  • Excellent technical drafter with a strong understanding of contract law;
  • Ability to work autonomously (with limited supervision), but collaboratively with other members of the Legal team, with the judgment to escalate items where appropriate;
  • Time management skills with ability to manage multiple transactions and stakeholders;
  • Excellent communications skills;
  • Ability to work in an unstructured, fast-paced, multi-cultural environment; and
  • Ability to work and thrive in a remote-working environment and proactively take steps to integrate with the organisation; and
  • Motivated and proactive individual who provides solutions and can close matters promptly. 

Other knowledge/skills

Preferred (not mandatory)- 

  • Experience of negotiating global or multi-jurisdiction contracts and deals.
  • Knowledge of Mandarin language
